These Terms of Service ("Terms") constitute a binding agreement between you ("Customer", "you") and AlgoLayer Technologies Private Limited ("AlgoLayer", "we", "us"), a company incorporated under the Companies Act 2013, with its registered office in Bengaluru, Karnataka, India, operating the Fencemaker geofencing API platform at fencemaker.app.
By creating an account, using an API key, or otherwise accessing the Service, you confirm that you have read, understood, and agree to these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.
If you do not agree, do not use the Service.
Fencemaker provides:
You must provide accurate, current, and complete information during registration. You are responsible for maintaining the security of your account credentials and API keys.
API keys are equivalent to passwords. You must not share them publicly, commit them to public repositories, or embed them in client-side code. AlgoLayer is not liable for any unauthorised use of your API keys. If you suspect a key has been compromised, rotate it immediately from the dashboard.
Each organisation may maintain one primary account unless you subscribe to a Premium or Enterprise plan that includes sub-accounts.
Fencemaker offers the following subscription tiers: Free, Standard ($29/mo or INR equivalent), Advanced ($79/mo), Premium ($249/mo), and Enterprise (custom). Plan features and limits are as published on the pricing page at the time of subscription.
The Free tier is provided without charge and without a service level commitment. We reserve the right to modify or discontinue the Free tier with 30 days' notice.
Paid plans are billed monthly in advance.
One-time top-up packs provide additional PiP checks and webhook events with 6-month validity. Top-up credits are consumed before base plan quota. Unused credits expire at validity end and are non-refundable.
When your plan quota is exhausted, additional requests will return a 429 (quota exceeded) response. We do not auto-charge overages. To continue service beyond quota, upgrade your plan or purchase a top-up pack.
Subscriptions may be cancelled at any time from the dashboard. Cancellation takes effect at the end of the current billing period; we do not provide pro-rated refunds for partial months. If you experience a service failure attributable to us, contact support@fencemaker.app within 7 days and we will evaluate a credit at our discretion.
This refund policy applies to the extent permitted under the Consumer Protection Act 2019. Statutory rights under Indian consumer law are not excluded.
Acceptance into the Startup Program grants 6 months of the Advanced tier at no charge. The program is non-transferable, limited to one application per organisation, and converts automatically to a paid Advanced subscription ($79/mo or INR equivalent) at the end of the free period unless cancelled.
You agree not to use the Service:
We reserve the right to suspend or terminate accounts that violate these Terms without prior notice in cases of serious breach.
Your use of the Service is subject to our Privacy Policy, incorporated into these Terms by reference. Key points:
The Fencemaker platform, API design, dashboard, branding, and documentation are the intellectual property of AlgoLayer Technologies Private Limited. These Terms do not grant you any rights to our trademarks, source code, or proprietary systems.
You retain all ownership of the geofence polygons, device records, and other data you create through the Service. You grant us a limited, non-exclusive licence to process that data solely to provide the Service to you.
If you submit feedback or feature suggestions, you grant us a perpetual, royalty-free licence to use that feedback to improve the Service without any obligation to you.
To the maximum extent permitted by applicable Indian law:
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded under Indian law.
You agree to indemnify and hold AlgoLayer, its directors, employees, and affiliates harmless from any claim, demand, loss, or damage (including reasonable legal fees) arising out of: (a) your use of the Service in violation of these Terms; (b) your violation of any third-party rights; (c) data you submit to the Service, including any privacy or data protection violations relating to that data.
You may cancel your account at any time from the dashboard settings. Cancellation takes effect at the end of the current billing period.
We may suspend or terminate your account with immediate effect if: (a) you breach these Terms materially; (b) we are required to do so by law; (c) we reasonably suspect fraudulent or abusive activity. We will provide 30 days' notice for any other termination.
On termination, your access to the Service and API keys will be revoked. You may export your data within 30 days of termination, after which it will be deleted in accordance with our Privacy Policy.
We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance. We may modify, deprecate, or discontinue features of the Service with reasonable notice; for paid plans, no less than 30 days' notice for material feature changes.
These Terms are governed by the laws of India. The courts of Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising from these Terms, subject to the following:
Before initiating legal proceedings, either party shall attempt to resolve the dispute through good-faith negotiation for at least 30 days. If unresolved, disputes shall be submitted to arbitration under the Arbitration and Conciliation Act 1996, with a sole arbitrator, proceedings in English, and seat in Bengaluru.
Nothing in this clause prevents either party from seeking injunctive or other equitable relief from a competent court.
